Terms of Service

01. Parties and Scope

These Terms of Service ('Terms') govern the legal relationship between PersonaX Digital Content Services ('PersonaX', 'Company', 'we') and any individual or legal entity ('User', 'you') that accesses or uses the PersonaX platform. By accessing or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

02. Description of Services

PersonaX provides an AI-powered digital twin content production platform for high-value professionals. Services include:

• Voice clone creation and management
• Digital avatar and video production
• Content strategy and scriptwriting
• Brand asset management
• Content calendar and publishing coordination

03. Account Registration and Security

• You must be at least 18 years old to create an account.
• You are responsible for ensuring your account information is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@mypersonax.com if you become aware of any unauthorised access or security breach.
• PersonaX reserves the right to suspend or terminate accounts at its discretion.

04. Biometric Data and Explicit Consent

PersonaX processes voice and facial data as special-category personal data under Turkish KVKK Law No. 6698 and, where applicable, under US state biometric privacy laws (including Illinois BIPA) and GDPR Art. 9. Regarding this data:

• Your explicit consent is required before we can create a voice clone or digital avatar.
• Consent is obtained electronically during the onboarding flow and stored with a cryptographic hash.
• You may withdraw consent at any time; withdrawal may affect existing content commitments.
• Upon withdrawal, your biometric data will be destroyed within 30 days.
• Transfer to third-party AI providers occurs solely for service delivery purposes under data processing agreements.

06. Prohibited Uses

The following uses are strictly prohibited:

• Creating misleading, fraudulent, or unlawful content
• Impersonating the voice or likeness of any person without their explicit consent
• Using another person's digital identity without authorisation (including deepfakes)
• Using the platform to distribute malware or to gain unauthorised access to any system
• Reverse engineering, decompiling, or attempting to copy the platform
• Producing content that infringes third-party intellectual property rights
• Creating content that constitutes a criminal offence under Turkish law, US federal law, or applicable international law

07. AI Content Disclosure

All content produced through PersonaX is AI-assisted. Publishing obligations:

• Produced videos may include an 'AI-generated content' disclosure label.
• Compliance with FTC Endorsement Guides and applicable national advertising regulations is your responsibility.
• You are advised to verify accuracy and regulatory compliance before approving content for publication.
• PersonaX is not liable for harm caused to third parties by published content.

08. Payment and Billing

• Fees are determined by the selected plan and any add-on services and are announced on the platform in advance.
• Payments are processed securely through İyzico A.Ş.
• Subscriptions renew automatically; cancellation must be notified at least 3 business days before the next billing cycle.
• Refunds for unused portions of annual plans are not provided except as required by applicable law.
• Non-payment may result in service suspension after a 7-day notice period.

09. Limitation of Liability

To the maximum extent permitted by applicable law:

• PersonaX does not warrant that the service will be uninterrupted or error-free.
• PersonaX is not liable for damages arising from the User's misuse of produced content.
• PersonaX is not liable for service outages caused by third-party providers.
• PersonaX's maximum aggregate liability is limited to the subscription fee paid in the month in which the damage-causing event occurred.
• Claims for indirect, special, or punitive damages are excluded.

10. Confidentiality

In the course of the service relationship, both parties may have access to each other's confidential information. Both parties:

• Agree not to disclose confidential information to third parties.
• Will use confidential information solely for purposes within the scope of the agreement.
• These obligations survive termination of the agreement for a period of 3 years.

11. Termination

• You may terminate this agreement at any time by written notice.
• PersonaX may terminate your account after a 14-day notice period in the event of a breach of these Terms.
• Immediate termination without notice may apply in cases of serious breach (biometric data misuse, fraud, etc.).
• Following termination, your data will be destroyed in accordance with the retention periods prescribed by KVKK and applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Turkey. The parties will first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the Istanbul Central (Çağlayan) Courts and Enforcement Offices shall have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will send notice to your registered email address at least 30 days in advance. Continued use of the platform after such changes constitutes acceptance of the updated Terms. The current Terms are always available at mypersonax.com/terms.
